1. Definitions and Interpretation

1.1 In this Agreement, unless the context otherwise requires, the following expressions have the following meanings:

Acceptance Date

means the date on which the Licensed Programs are accepted (or deemed to be accepted) by the Licensee;

Business Day

means any day (other than Saturday or Sunday) on which ordinary banks are open for their full range of normal business in United Kingdom;

Confidential Information

means, in relation to either Party, information which is disclosed to that Party by the other Party pursuant to, or in connection with, this Agreement (whether orally or in writing or any other medium, and whether or not the information is expressly stated to be confidential or marked as such). This shall include, but not be limited to, information contained in the Licensed Program Materials and the Specification;

Intellectual Property Rights

(a) any and all rights in any copyrights, patents, trade marks, service marks, registered designs, applications (and rights to apply for any of those rights) trade, business and company names, internet domain names and e-mail addresses, unregistered trade marks and service marks, database rights, know-how, rights in designs and inventions;

(b) rights under licences, consents, orders, statutes;

(c) rights of the same or similar effect or nature as or to those in paragraphs (a) and (b) which now or in the future may subsist; and

(d) the right to sue for past infringements of any of the foregoing rights;

Licence

the licence granted by the Licensor;

Licence Fee

the fee for the Licence provided under this Agreement;

Licensed Program Materials

collectively, the Licensed Programs, the Program Documentation and the Media;

Licensed Programs

the computer software programs of the Licensor;

Media

the media on which the Licensed Programs and the Program Documentation are stored or printed as provided to the Licensee by the Licensor;

Program Documentation

the operating manuals, user instructions, technical literature and all other related materials in eye-readable form supplied to the Licensee by the Licensor for aiding the use and application of the Licensed Programs;

Specification

the specification of the Licensed Programs describing the facilities and functions thereof, a copy of which is annexed to this Agreement;

Use the Licensed Program Materials

to read any or all parts of the Licensed Programs from any form of storage media, to load the Licensed Programs on the Equipment for the storage and/or running of the Licensed Programs, to read and possess the Program Documentation in conjunction with the use of the Licensed Programs and to possess the Media.

1.2 Unless the context otherwise requires, each reference in this Agreement to:

1.2.1 “ writing”, and any cognate expression, includes a reference to any communication effected by electronic or facsimile transmission or similar means;

1.2.2 a statute or a provision of a statute is a reference to that statute or provision as amended or re-enacted at the relevant time;

1.2.3 “ this Agreement” is a reference to this Agreement and each of the Schedules as amended or supplemented at the relevant time;

1.2.4 a Schedule is a schedule to this Agreement;

1.2.5 a Clause or paragraph is a reference to a Clause of this Agreement (other than the Schedules) or a paragraph of the relevant Schedule;

1.2.6 a “ Party” or the “Parties” refer to the parties to this Agreement.

1.3 The headings used in this Agreement are for convenience only and shall have no effect upon the interpretation of this Agreement.

1.4 Words imparting the singular number shall include the plural and vice versa.

1.5 References to any gender shall include the other gender.

1.6 Words importing persons include firms, companies and corporations and vice versa.

2. Intellectual Property

The Site and its original content, graphic, images, videos, features and functionality are owned by @@@ Filer Limited and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

3. Returns and Refunds Policy

Upon the confirmation of our online products, there will be no issue for a refund. We ask for the payment for a submission charge which is based upon the usage of our software and strongly advice all users to have all information at hand including HMRC online account made ready before completing the payment for the submission charge. Please seek assistance if you may receive issues in downloading or receiving our products

4. Confidentiality

4.1 Both Parties undertake that:

4.1.1 keep confidential all Confidential Information;

4.1.2 not disclose any Confidential Information to any other party;

4.1.3 not use any Confidential Information for any purpose other than as contemplated by this Agreement;

4.1.4 not make any copies of, record in any way or part with possession of any Confidential Information;

4.1.5 you are responsible for the confidentiality of your account and password at all times, and for all activities that may occur under your account

4.1.6 to immediately notify @@@ Filer about any breach of private information or your account or password

4.1.7 you are responsible for correctly logging out of your account after each session

4.1.8 @@@ Filer takes no liability for any damage or loss that may occur from your failure to follow these rules

5. Termination

We may terminate your access to the Site, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

6. Data Protection

The Parties undertake to comply with the provisions of the Data Protection Act 1998 and any related legislation in so far as the same relates to the provisions and obligations of this Agreement.

7. Governing Law

This Agreement (and any further rules, policies, or guidelines incorporated by reference) shall be governed and construed in accordance with the laws of the United Kingdom without giving effect to any principles of conflicts of law.

8. Nature of the Agreement

8.1 Each Party acknowledges that, in entering into this Agreement, it does not rely on any representation, warranty or other provision except as expressly provided in this Agreement, and all conditions, warranties or other terms implied by statute or common law are excluded to the fullest extent permitted by law.

8.2 No waiver of any term of these Terms shall be deemed a further continuing waiver of such term or any term, and @@@ Filer failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision

9. Feedback

@@@ Filer is thankful of all client feedback, and where feedback may be used in the future along with testimonials and quotes as a form of marketing literature.

Our Site may contain links to third-party sites that are not owned or controlled by @@@ Filer. @@@ Filer has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party sites or services.
